Naming the Company
You may use any name for your company, subject to some sensitive (and fairly obvious!) words. There are restrictions on usage of the word 'International' and 'group', so please contact us if you would like advice.

If you need to, your Company Name can be changed any time after its incorporation. Company Team can file a name change application on your behalf. It normally takes a week and you receive a new Certificate of Incorporation.

Registered Office Address
This is the official address of a company to which all company related correspondence is sent (ie Companies House letters and reminders, Inland Revenue returns and other notifications etc.) It has to be a valid postal address anywhere in the UK.

Company Team can act as your official Registered Office to enable receipt of the above official mail. It also allows a seamless service if we act as your nominee Company Secretary if you require.

Officers (Directors and Company Secretary)
A private limited company must have at least 1 Director.

Directors
Directors must:

  • Be between the age of 16 and 70.
  • Not be an undischarged bankrupt.
  • Declare any other known name.
  • Declare any other directorships held in the
  • previous 5 years.

Company Secretary
The secretary is an officer of the company and has the following responsibilities:

  • Keeping minutes of board and shareholders' meetings.
  • Timely delivery of statutory forms and shareholders' resolutions to Companies House.
  • Giving notice of shareholders' meetings.
  • Registration of share transfer.
  • Maintenance of statutory documents and company records.
  • Providing members and auditors with 21days notice of annual general meetings, and 14 days notice of a meeting other than AGM or to pass any resolution.

Nominee Company Secretary
Company Team is able to provide you with a Nominee Secretary service, to keep you informed of and fulfil the legal requirements for your Company.

Digital Signature
On the old handwritten incorporation forms there is a place for you to sign in your own hand.

With Company Team's Online system, Companies House have devised a way of producing a unique digital signature for you, from your 3 digit answers to these questions.

They then generate a unique digital signature for you from a mix of data including your answers to these questions, replacing your handwritten signature.

Subscribers
The initial shareholders of a private limited company are called the subscribers, but you only need have one to get underway.

These subscribers can be anybody, but usually include a director. Often the director or directors will be issued with all of the shares.
